LEGAL REPORT
FISCAL YEAR 2010
PRINCIPLE STATEMENT
As stated in various polices, procedures, and documents, it is the intent of Central Fairfax Services, Inc. (CFS) to comply with all legal and regulatory requirements of federal, state, county, and city entities.
BOARD POLICIES AND ACTIONS
The Board adopted the following policies and documents:
· Affiliation Agreement with the ServiceSource Network
· Election of Director Jack Bruggeman as the CFS representative to the ServiceSource Network Board of Directors
· Election of the ServiceSource Network Board as the Board of Directors for CFS
· Financial Operating Manual

The Board revised the following policies and documents:

The Board conducted its fourth survey of Directors and addressed the recommendations during the year including legal matters.
The Board held an Annual Awards Meeting.
Legal services were obtained in regard to a personnel matter.
The Members of the Corporation approved a revision to the Articles of Incorporation to transition CFS from a non stock member corporation to a non stock non member corporation in accordance with the Code of Virginia. This action enabled the CFS to vote in favor of affiliation with the ServiceSource Network.

INSURANCE
CFS maintained a full portfolio of liability and property insurance policies through BB&T Insurance Services, Inc. These policies were reviewed by the broker with the Legal Committee and senior management staff and were approved by the Board of Directors.
LICENSING REQUIREMENTS
The license issued to CFS by the Virginia Department of Behavioral Health and Disability Services to provide a “day support service for adults with intellectual disabilities” remained in effect through March, 2012. An unannounced inspection by a Licensure Specialist during the year indicated full compliance with all applicable standards.
CFS retained its accreditation by CARF, the Council for the Accreditation of Rehabilitation Facilities, through October, 2011. Interim reports were filed in a timely manner.
All other permits and certificates including Occupancy, Department of Labor, and Medicaid were maintained or re-issued during the year.
EMPLOYMENT PRACTICES
Comprehensive efforts were made to assure that all employment practices were conducted in compliance with applicable laws and regulations.
LITIGATION
CFS was not involved in any litigation throughout the year.
ALLEGATIONS OF WRONGDOING
Reports of employee
mistreatment of persons served or other violations of the Disciplinary Policy
were addressed in accordance with the applicable policies. An allegation of
fraud involving a former employee is under investigation by the Fairfax County
Police Department.
MALPRACTICE
There were no allegations of malpractice.
VIOLATIONS OF THE CODE OF ETHICS
There were no reports of violations of the Code of Ethics.

RIGHTS OF PERSONS SERVED
CFS made ongoing efforts to assure that the rights, privacy and dignity of persons served were promoted and protected through policies, procedures, staff training, handbooks, posters, and other materials. Employees received training in HIPAA, confidentiality, mandatory reporting of abuse or neglect, and underwent criminal background investigations in accordance with the Code of Virginia. Presentations were made to the CFS Consumer Council by staff as well as representatives of regulatory and advocacy organizations to better inform persons served of their rights.
CONTRACTUAL AGREEMENTS
Contracts and memorandums of agreement, whether generated by
CFS or the other party, were reviewed by the Legal Committee and senior management
staff and approved by the Board of Directors.
There were no disputes regarding contractual matters during the year.
CORPORATE STATUS
The Annual Report to the State Corporation Commission was filed in an accurate and timely manner with Director Jack Bruggeman continuing to serve as the Registered Agent. All corporate activities were conducted in compliance with the 501-C-3 status conferred by the IRS and there were no changes made to the private nonprofit certificate. All donors received a letter of acknowledgment which included the Federal Identification number and the tax deductibility of the contribution.
OTHER LEGAL MATTERS
The Response to Legal Actions, approved by the Board in 2005, remained in effect throughout the year. Wage garnishments were processed in accordance with legal requirements and employees received a confidential memo and assistance when requested.
